| Abstract : | Σκοπός της παρούσας διπλωματικής εργασίας είναι να παρουσιαστούν τα αναγκαία θέματα της εταιρικής διακυβέρνησης. Για να επιτευχθεί αυτό, αναφέρεται η οικονομική θεμελίωση της εταιρικής διακυβέρνησης, χρησιμοποιώντας ένα βασικό μοντέλο χρηματοδότησης κι όλα τα σχετικά με αυτό θέματα, όπως ο έλεγχος, τα δικαιώματα πάνω σε αυτόν και την κοινωνία των εμπλεκόμενων μερών. Στη συνέχεια αναλύονται οι μέτοχοι και το διοικητικό συμβούλιο των επιχειρήσεων, βάσει των αρχών και των καλών πρακτικών που προτείνονται από την εταιρική διακυβέρνηση. Έπειτα, αναπτύσσονται η διακυβέρνηση των τραπεζών, οι πρακτικές ESG και η κυκλική οικονομία. Τέλος, πραγματοποιείται μία μελέτη περίπτωσης ανάμεσα στην αμερικανική πολυεθνική τράπεζα JPMorgan Chase & Co. και του ολλανδικού συνεταιρισμού Rabobank, παραθέτοντας τα κατάλληλα συμπεράσματα.
This dissertation refers to the governance structures of listed companies and financial institutions. The first section provides an overview of Jean Tiroles' basic model of how companies are financed and the governance issues that are presented in his paper on management incentives, control, shareholders and stakeholder society. The following section analyzes the role of shareholders, the ownership structure and all the issues concerning the board of directors. Afterwards, the third section describes the ESG issues, how business sustainability is developed and the circular economy that is directly related to them. Finally, a case study is carried out regarding JPMorgan Chase & Co. and the Rabobank cooperative. At this point, an analysis is carried out concerning all issues that referred to the activity of the two banking institutions, their ownership structure, the composition of their boards and the remuneration of their members. Finally, a citation of the conclusions that derived from the analysis is presented and some improvements in governance structures are suggested.
